SOUNDDOGS.COM CO-FOUNDING PRESIDENT ACQUIRES INTERNET COMPANY

Santa Monica, California - April 4, 2002 -- SOUNDDOGS.COM, Inc. today announced that co-founder and company President Rob Nokes, 32, has acquired Sounddogs.com, Inc. outright in a cash and stock transaction from Sound Dogs, Inc. and Wicked North Productions, LLC. Nokes' 25% stake in both Sound Dogs, Inc. and Wicked North Productions, LLC, and a low six figure sum of cash and cash equivalents, was the purchase price for the remaining 75% stake in the Internet's first online sound effects distributor.

Nokes stated, "after ten years with Sound Dogs it was apparent that the two business cultures had become different. In the virtual Internet world we work around the clock, not constantly, but dynamically, based on the needs of the customer. I want every content creator world wide to know that we're here for them 24/7, and if you want proof of that, my personal cell phone number is provided as a guarantee."

Prior to co-founding Sound Dogs, Inc.(USA) in 1995, where his duties varied from managing partner, sound creation, and technical direction, Nokes was a sound effects recordist and the technical director for Sound Dogs Toronto, since 1992. He started his career in 1987 as a cameraman, switcher, and chyron operator for Mendelson Films Ltd. in his hometown of Winnipeg, Canada.

Gregory King, of Sound Dogs, Inc. commented, "the separation of the two companies will allow us to concentrate more on our specialties, Rob will now be able to devote his time to .COM, while myself and my partner Bob Grieve will likewise do with the same with .INC. This will result in more efficient operations, higher quality of service, more focused growth, and better customer support for both businesses. Sound Dogs Inc. will continue to supply content to the .Com, and the .Com will continue to supply library services to .Inc."

While focusing on Sounddogs.com, Nokes will continue to work in feature film production on a selective basis. The first film to be sound designed by Nokes, is The Anarchist Cookbook (www.anarchymovie.com) for Director Jordan Susman of Fredonia Productions, Produced by Robert L. Brown (Spider Man), Film Editor Alan E. Bell (Bait, Story of Us), co-Supervised with Stephen Barden of Sound Dogs Toronto (Requiem For A Dream), and re-recorded at Sony Pictures Studios with Scott Millan and Bob Beemer (Gladiator, Apollo 13).
